老牌大型零售商Hudson’s Bay(TSX:HBC)周五宣布與投資管理公司Land & Buildings達成協議,Land & Buildings同意停止反對私募基金Rhone Capital購入Hudson』s Bay股權。

投資管理公司Land & Buildings上月向安省證監會(OSC)提出申請,要求證監會就多倫多證券交易所(TSE)決定有條件批准Rhone Capital入股Hudson』s Bay進行上訴聆訊。

根據雙方達成的協議,Hudson’s Bay將須透過發行股票集資,觸動Rhone Capital所購入優先股的一年價格保護條款,然後Hudson’s Bay透過發行股權,讓全部股東按持股比例供股,有別於私人配售形式。此外,Land & Buildings亦同意在Hudson’s Bay 2018年股東周年大會前不採取進一步行動。

Rhone Capital較早前同意以購入8年強制性可兌換優先股形式,投資約6.32億元於Hudson’s Bay。這項投資協議亦包括Hudson’s Bay把美國Lord & Taylor Fifth Avenue一幢物業,售給WeWork和Rhone Capital的合資企業WeWork Property Advisors。

過去數周,Hudson』s Bay與Land &Building互相指責,直斥對方在出售美國物業和相關Rhone Capital投資誤導投資者。Rhone Capital最初將持有Hudson』s Bay的21.8%股權,然後逐步增至30%。

Hudson』s Bay預期Rhone Capital的投資計劃,將於下周完成。

Hudson’s Bay行政主席貝克(Richard Baker)表示,公司將會繼續評估其持有的房產組合,確保為公司和投資者帶來最大利益。
